Terms of Service

These Terms of Service ("Terms") govern the relationship between you ("Client", "you") and APodcastGeek Limited ("APG", "we", "us", "our"), a company registered in Ireland, with its registered address at 67 Hillcrest Drive, Lucan, Co. Dublin, Ireland. By engaging our services or using our website and client portal, you agree to be bound by these Terms.
1. Services
APG provides done-for-you B2B podcast production services under the brand name "The APG Brand Builder". Services may include, but are not limited to:
- Podcast strategy and positioning
- Strategic guest recruitment and outreach
- Pre-production briefing for host and guest
- Video and audio podcast production
- Short-form clip production
- Guest intro trailer production
- Custom thumbnail design
- SEO-optimised show notes and articles
- Distribution across podcast platforms
- Monetisation strategy and ad placement
The specific deliverables included in your subscription are defined in your individual service agreement and client portal order.
APG may use AI-assisted tools as part of our production workflow, including but not limited to pre-production research, brief generation, and content formatting. All AI-generated output is reviewed and approved by our team before delivery.
Requests for work beyond the agreed scope of your subscription will be quoted separately and are not included in your subscription fee.
2. Subscription and Commitment
All APG services are delivered on a monthly subscription basis. By subscribing, you agree to the following:
- Minimum commitment: All subscriptions require a minimum commitment of six (6) months from the date of activation.
- Billing cycle: Subscriptions are billed automatically on a recurring basis from your subscription start date. Payment collection will be re-tried a maximum of three (3) times over the course of three (3) days following the payment date. Failure to pay after all three attempts will result in immediate account termination.
- No pausing: Subscriptions cannot be paused. If you are unable to record during a given month, your subscription remains active and billable.
- Cancellation: After the minimum commitment period, you may cancel your subscription by providing thirty (30) days written notice to info@apodcastgeek.com. Cancellation takes effect at the end of the current billing cycle following the notice period.
- Early termination: If you wish to terminate your subscription before the minimum commitment period has elapsed, you remain liable for the balance of fees due for the remainder of the minimum commitment period.
3. Payment
- All payments are processed automatically through our client portal at clients.apodcastgeek.com, operated by Wayfront.
- Prices are quoted in Euro or US Dollar as agreed at the time of onboarding and are exclusive of any applicable taxes unless otherwise stated.
- Payment is collected automatically on each subscription renewal date. If payment fails, the system will re-attempt collection a maximum of three (3) times over three (3) days. If all three attempts fail, the account will be terminated immediately and all services will cease.
- APG reserves the right to adjust pricing upon renewal or at the start of a new commitment period, with thirty (30) days written notice. Price increases shall not exceed ten percent (10%) per annum.
- No refunds: Fees paid for services already rendered or for the current billing period are non-refundable. This includes any months during which the client did not submit recordings or utilise the service.
4. Client Responsibilities
APG's production strategies, creative decisions, and workflows are intentional and vital to our process. Our best results are achieved when clients trust the process and allow our team the creative and operational autonomy to deliver at the highest standard. We are not the right fit for clients who require granular oversight of every production decision. By engaging our services, you acknowledge that APG operates as your production partner, not an on-demand task executor.
To enable us to deliver our services effectively, you agree to:
- Provide all required brand assets, logos, images, and materials during onboarding.
- Complete the Podcast Guide and attend the Podcast Design Call as part of the onboarding process.
- Submit recorded episodes via the client portal in a timely manner.
- Respond to communications and approve deliverables within a reasonable timeframe. Delays in client response may affect production timelines.
- Attend scheduled recording sessions with recruited guests. Repeated no-shows or cancellations may affect the guest recruitment service.
- Grant and maintain APG's access to relevant platform accounts (YouTube, Spotify, podcast hosting, etc.) for the duration of the engagement. APG is not liable for any issues arising from the client revoking access, or from platform account suspensions, policy violations, or third-party actions on the client's accounts.
- Ensure that all materials provided to APG (including music, images, video clips, and guest recordings) are owned by you or properly licensed. You are responsible for obtaining all necessary rights and permissions for materials you supply.
5. Production Timelines
- Standard production turnaround is ten (10) business days from the order onboarding date. This turnaround is fixed and applies to all clients without exception.
- APG does not offer an expedited or rush delivery service. All episodes are produced within the standard turnaround.
6. Revisions
- Revisions are included as part of your subscription.
- All revision requests must be submitted as timestamped notes within Frame.io and accompanied by an email notification to info@apodcastgeek.com. Revision requests submitted through any other channel will not be actioned.
- Revision requests must be received no later than five (5) business days prior to your scheduled episode release date. Requests received after this deadline may not be accommodated before the release date.
- Deemed approval: If a deliverable is not reviewed or a revision is not requested within five (5) days of delivery, the deliverable is deemed approved and will be published.
7. Intellectual Property
- Client content: You retain full ownership of all original content you provide to us, including recordings, brand assets, and proprietary materials.
- Produced content: Upon full payment for the relevant billing period, ownership of all produced deliverables (edited video, audio, clips, thumbnails, articles) transfers to you. Content produced during any unpaid billing period remains the property of APG until the outstanding balance is settled in full. The client may not publish, distribute, or use any deliverables for which payment is outstanding.
- Portfolio rights: APG retains the right to use excerpts of produced work (clips, thumbnails, production samples) in our portfolio, website, and marketing materials unless you notify us in writing that you wish to opt out. Use of your name, brand, or metrics in named case studies requires your separate written consent.
- APG branding: All APG proprietary materials, branding, templates, systems, and processes remain the exclusive property of APodcastGeek Limited.
8. Confidentiality
Both parties agree to keep confidential any proprietary or sensitive business information disclosed during the course of the engagement. This includes, but is not limited to, business strategies, pricing, client lists, guest pipelines, and internal processes. This obligation survives the termination of the service agreement.
9. Guest Recruitment
Where guest recruitment is included in your subscription:
- APG will identify, qualify, and reach out to prospective guests matching your agreed ideal customer profile.
- APG does not guarantee a specific number of guest bookings per month, as guest availability and response rates are outside our control.
- All guest communication is conducted on your behalf and in your brand name.
- You agree not to engage in any conduct during or after a guest recording that could damage APG's professional reputation or relationships.
- Guest releases: The client is responsible for obtaining any necessary permissions, releases, or consents from podcast guests regarding the publication of their image, voice, and likeness. APG facilitates guest recruitment and coordination but does not assume legal responsibility for guest content rights. If a guest requests removal of their published content, the client is responsible for complying with that request.
10. Indemnification
You agree to indemnify, defend, and hold harmless APodcastGeek Limited, its directors, employees, and contractors from and against any claims, damages, losses, liabilities, costs, or expenses (including reasonable legal fees) arising out of or in connection with:
- Materials you provide to APG that infringe the intellectual property rights, privacy rights, or any other rights of a third party.
- Content published at your direction that results in a claim from a guest, third party, or regulatory body.
- Your breach of these Terms or any applicable law.
11. Sub-Contractors
APG may engage sub-contractors, freelancers, or third-party specialists to deliver certain elements of the service, including but not limited to video editing, audio editing, graphic design, and guest outreach. APG remains responsible for the quality and timeliness of all deliverables regardless of whether the work is performed by in-house team members or sub-contractors.
12. Limitation of Liability
- APG's total liability arising out of or in connection with these Terms shall not exceed the total fees paid by you in the three (3) months immediately preceding the event giving rise to the claim.
- APG shall not be liable for any indirect, incidental, consequential, or punitive damages, including but not limited to loss of revenue, loss of data, or business interruption.
- APG is not responsible for the performance of third-party platforms (YouTube, Spotify, Apple Podcasts, Wistia, etc.) or any changes to their algorithms, policies, or availability.
13. Termination by APG
APG reserves the right to terminate a client engagement with thirty (30) days written notice if:
- The client is in breach of these Terms and fails to remedy the breach within fourteen (14) days of written notice.
- The client's account is more than three (3) days in arrears following the final failed payment attempt.
- The client engages in conduct that is abusive, defamatory, or harmful to APG's team, reputation, or business relationships.
In the event of termination by APG due to client breach, no refund will be issued for the current billing period.
14. Content and Data on Termination
Upon termination or expiry of the engagement:
- APG will provide access to all final deliverables for which payment has been received in full.
- APG will retain project files, raw assets, and working documents for a period of six (6) months following termination, after which they may be permanently deleted.
- The client may request early deletion of their project files by submitting a written request to info@apodcastgeek.com. APG will action such requests within thirty (30) days, subject to any legal retention obligations.
- APG's portfolio rights (Section 7) survive termination unless the client has opted out in writing.
15. Force Majeure
Neither party shall be liable for any failure or delay in performing its obligations where such failure or delay results from circumstances beyond the reasonable control of that party, including but not limited to natural disasters, pandemic, government action, internet outages, or platform outages.
16. Dispute Resolution
In the event of a dispute arising out of or in connection with these Terms, both parties agree to attempt resolution through good-faith negotiation in the first instance. If the dispute cannot be resolved within thirty (30) days, it shall be subject to the exclusive jurisdiction of the courts of Ireland.
17. Governing Law
These Terms shall be governed by and construed in accordance with the laws of Ireland.
18. Changes to These Terms
APG reserves the right to update these Terms from time to time. Any material changes will be communicated to active clients via email with at least thirty (30) days notice. Continued use of our services after the effective date of any changes constitutes acceptance of the updated Terms.
